By accessing or using Bearings ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. We may modify these terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Bearings is an AI-powered productivity platform that helps you capture, transcribe, and organize meeting information. The Service includes meeting recording and transcription, task management, AI-generated insights, and document management features.

3. Recording Consent and Legal Compliance

3.1 Your Responsibility for Consent

By using the recording features of Bearings, you represent and warrant that you have obtained all necessary consents and permissions from all participants before recording any meeting, conversation, or interaction. This includes:

  • Verbal or written consent from all participants
  • Compliance with all applicable local, state, national, and international laws regarding recording
  • Compliance with any workplace or organizational policies regarding recording

3.2 Multi-Party Consent Laws

Many jurisdictions require all-party consent for recording conversations. These include but are not limited to:

  • California, Florida, Illinois, and other U.S. states
  • European Union countries under GDPR
  • Various other international jurisdictions

You are solely responsible for understanding and complying with the recording laws in your jurisdiction and the jurisdictions of all participants.

3.3 Prohibited Uses

You may NOT use the recording features to:

  • Record conversations without the knowledge and consent of all participants
  • Record attorney-client, doctor-patient, or other privileged communications without proper authorization
  • Violate any applicable wiretapping, eavesdropping, or surveillance laws
  • Infringe on the privacy rights of any individual

3.4 Indemnification for Recording

You agree to indemnify, defend, and hold harmless Bearings and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the recording features, including but not limited to claims related to unauthorized recording, privacy violations, or non-compliance with applicable laws.

4. User Accounts

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized access to your account

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Upload malicious code or attempt to compromise system security
  • Harass, abuse, or harm another person
  • Spam or send unsolicited communications
  • Impersonate another person or entity
  • Interfere with or disrupt the Service

6. Intellectual Property

You retain ownership of all content you create or upload to the Service, including recordings, transcripts, tasks, and documents. By using the Service, you grant us a limited license to process, store, and transmit your content solely for the purpose of providing the Service to you.

Bearings and its logos, features, and functionality are owned by us and are protected by copyright, trademark, and other intellectual property laws.

7. AI Features and Limitations

  • AI-generated content (summaries, suggestions, insights) is provided for informational purposes only
  • AI outputs may contain errors and should not be relied upon as professional advice
  • AI features may not be available at all times and may change without notice
  • You are responsible for reviewing and verifying AI-generated content before acting on it

8. Payment and Subscriptions

  • Paid features require an active subscription
  • Subscriptions automatically renew unless cancelled before the renewal date
  • You may cancel your subscription at any time through your account settings
  • Refunds are provided in accordance with our refund policy
  • We reserve the right to change pricing with reasonable notice

9. Account Termination

We may suspend or terminate your account if you:

  • Violate these Terms of Service
  • Engage in illegal recording activities
  • Use the Service in a manner that could harm other users or the Service
  • Fail to pay applicable fees

You may delete your account at any time through your account settings. Upon deletion, all your data will be permanently removed in accordance with our Privacy Policy.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE SPECIFICALLY DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEARINGS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
